The French group Naturex said on Thursday that it was going to acquire part of the activities of the Spanish group Natraceutical. The two groups signed 'an agreement to create the world number one in the field of natural specialty ingredients'.

In the natural ingredients sector, the French group Naturex announced in a press release on Thursday that it had 'signed a memorandum of understanding for the integration of the Ingredients division of Natraceutical into Naturex'.

Naturex presents itself as' one of the leading producers of plant extracts for the agro-food, aromatic, nutraceutical and cosmetic industries', while it describes the Spanish group as' one of the main companies in the field of research and development of functional ingredients, active ingredients and nutritional supplements'.

Through this agreement, the two groups will merge their activities in the field of ingredients, the operation to be 'effective before the end of the year'. This merger should give birth to the 'world number one in the field of natural specialty ingredients', according to Naturex.

'' The new entity will have production sites in Europe (France, Italy, Spain, Switzerland and United Kingdom), the United States, Morocco, Australia and Brazil as well as sales offices in the United States and Europe and in Asia ', specifies Naturex in the press release.

At the end of the transaction, Naturex forecasts a pro forma turnover of 'around 200 million euros' for 2009 with a proforma Ebitda 'close to 30 million euros.'

"This transaction is a unique opportunity for Naturex to become the world leader in natural ingredients thanks to the integration of the renowned companies making up the Ingredients division of Natraceutical", underlined Jacques Dikansky, CEO of Naturex, in the press release.

For his part, Xavier Adserà, President of Natraceutical Group, said: 'in the current financial context, which forces companies to constantly review their growth strategy, we believe that the complementarity of our expertise will create value for our various activities and our shareholders'.

This Thursday around 14:20 p.m., Naturex shares rose by nearly 8%, to 28,17 euros, on the Paris stock exchange.
